Welcome to Iron Intel (the “Platform”). By accessing or using the Iron Intel web platform, mobile application, API, or any related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“TOS” or “Agreement”). If you do not agree, do not access or use the Service.
1. Acceptance of Terms
Your access and use of the Service is conditioned upon your acceptance of and compliance with this Agreement. This Agreement applies to all visitors, users, customers, and others who access or use the Service (“you” or “User”).
2. Changes to Terms
Ironslate reserves the right, at its sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes by posting the new Terms on the Platform and updating the “Effective Date” above. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
3. Eligibility
You must be at least 18 years old and have the legal capacity to enter into this Agreement. By using the Service, you represent and warrant that you meet these requirements.
4. Account Registration
You may be required to create an account to access certain features.
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
You agree to provide accurate, current, and complete information during registration and to update such information as needed.
We reserve the right to suspend or terminate accounts that violate this Agreement or for any other reason at our sole discretion.
5. Subscription Plans and Payment
Access to certain features requires payment of subscription fees (“Subscription Fees”).
All fees are quoted in U.S. dollars and are non-refundable except as expressly stated.
You authorize us (or our third-party payment processor) to charge your chosen payment method on a recurring basis.
We may change pricing at any time with notice. Price changes will apply to the next billing cycle.
6. License Granted to You
Subject to your compliance with this Agreement and payment of applicable fees, Ironslate grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business or personal use.
7. User Content
You retain ownership of any data, information, or material you upload or submit to the Service (“User Content”).
By uploading User Content, you grant Ironslate a worldwide, royalty-free, perpetual, irrevocable license to use, store, display, reproduce, modify, and process such User Content solely to provide and improve the Service.
You are solely responsible for your User Content and represent that it does not violate any third-party rights or applicable law.
8. Prohibited Uses
You agree not to:
Use the Service for any illegal, unauthorized, or prohibited purpose.
Attempt to gain unauthorized access to the Service or its systems.
Interfere with or disrupt the Service or servers/networks connected to the Service.
Reverse engineer, decompile, or disassemble any part of the Service.
Use automated scripts, spiders, robots, or scrapers on the Service without prior written consent.
Resell, lease, or provide the Service to third parties (unless expressly authorized under a separate partner/reseller agreement).
9. Intellectual Property
The Service, including all content, features, and functionality (excluding User Content), is owned by Ironslate LLC or its licensors and is protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or create derivative works of any portion of the Service without prior written permission.
10. Data Privacy
Your personal information is governed by our Privacy Policy, available at https://ironslate.com/privacy (or as otherwise posted on the Platform).
11. Confidentiality
If you receive or access any non-public information about the Service designated as confidential, you agree to maintain its confidentiality and not disclose it to third parties without prior written consent.
12. Termination
You may terminate your account at any time via your account settings or by contacting support.
We may suspend or terminate your access immediately, without notice, for breach of this Agreement or for any other reason.
Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive (e.g., payment obligations, ownership, confidentiality, indemnity, limitation of liability) will survive.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IRONSLATE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
15. Indemnification
You agree to defend, indemnify, and hold harmless Ironslate LLC and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your User Content, or your violation of this Agreement.
16. Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising out of this Agreement shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware. You waive any objection to venue or inconvenience of forum.
17. Force Majeure
Ironslate will not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, riot, embargoes, pandemics, fire, flood, or strikes.
18. Miscellaneous
This Agreement constitutes the entire agreement between you and Ironslate regarding the Service.
If any provision is held invalid, the remainder shall continue in full force.
Our failure to enforce any right or provision shall not constitute a waiver.
You may not assign this Agreement without our prior written consent; we may assign it freely.
